- Payment schedule
3. Intellectual Property Rights
3.1 Our Intellectual Property
The service, including its original content, features, and functionality, is owned by Dire Wolf Web Design & Development and is protected by international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.
3.2 Client Content
You retain all rights to any content you provide for use in the project, including text, images, and logos. You grant us a license to use this content solely for the purpose of providing our services.
3.3 Third-Party Content
Any third-party content, including themes, plugins, or media, will be properly licensed for use in your project. You are responsible for maintaining any required licenses after project completion.
4. Payment Terms
4.1 Project Fees
Project fees are outlined in the initial proposal and are based on:
- Project scope and complexity
- Required features and functionality
- Timeline requirements
- Ongoing maintenance needs
4.2 Payment Schedule
Our standard payment schedule is:
- 50% deposit upon project initiation
- 25% at project midpoint
- 25% upon project completion
4.3 Late Payments
Payments not received within 30 days of the invoice date will incur a late fee of 1.5% per month. We reserve the right to suspend work on projects with outstanding payments.
5. Project Timeline and Delivery
5.1 Project Timeline
Project timelines are established in the initial scope of work. Timelines may be adjusted due to:
- Client delays in providing required content or feedback
- Requested changes to project scope
- Technical challenges or unforeseen complications
- Force majeure events
5.2 Client Responsibilities
To maintain project timelines, clients are responsible for:
- Providing required content and assets in a timely manner
- Reviewing and providing feedback within agreed timeframes
- Ensuring technical requirements are met
- Maintaining clear communication throughout the project
6. Revisions and Changes
6.1 Revision Policy
Our projects include:
- Two rounds of major revisions during design phase
- One round of minor revisions after development
- Additional revisions at standard hourly rate
6.2 Change Requests
Changes to project scope will be evaluated and may require:
- Additional fees
- Timeline adjustments
- Contract amendments
7. Website Maintenance and Support
7.1 Maintenance Services
Post-launch maintenance includes:
- Security updates and monitoring
- Performance optimization
- Content updates
- Technical support
7.2 Response Times
We aim to respond to support requests within:
- Critical issues: 4 hours
- Major issues: 24 hours
- Minor issues: 48 hours
8. Termination
8.1 Termination by Client
Clients may terminate services with written notice. Termination fees may apply:
- 50% of remaining project fee if terminated during design phase
- 75% of remaining project fee if terminated during development
- 100% of remaining project fee if terminated within final phase
8.2 Termination by Company
We reserve the right to terminate services if:
- Payment terms are not met
- Client fails to provide required materials
- Client violates these terms
9. Limitation of Liability
In no event shall Dire Wolf Web Design & Development be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:
- Your use or inability to use our services
- Any unauthorized access to or use of our servers
- Any interruption or cessation of transmission to or from our services
- Any bugs, viruses, or other harmful code that may be transmitted
10. Confidentiality
We maintain strict confidentiality regarding:
- Client business information
- Project details and specifications
- Pricing and payment terms
- Technical implementations
11. Force Majeure
Neither party shall be liable for any failure or delay in performance due to circumstances beyond reasonable control, including:
- Natural disasters
- War or civil unrest
- Government actions
- Network or power failures
12. Governing Law
These Terms shall be governed by and construed in accordance with the laws of Connecticut, United States, without regard to its conflict of law provisions.
13. Changes to Terms
We reserve the right to modify these terms at any time. We will notify clients of any material changes via email or prominent notice on our website.
